Limited company contractor opt-out notification regarding regulation 32 of the conduct regulations

The supply of services via a Ltd company can opt out of the Conduct Regulations in accordance with Regulation 32 by making provisions for the workers whose services are supplied via a limited company. This is due to the Conduct of Employment Agencies and Employment Business Regulations 2003 ("the Conduct Regulations") coming into force From July 6th 2004 and apply to the introduction or supply of limited company contractors to a client by an employment business.

To opt out of the application of the Conduct Regulations, please read this notification carefully and ensure that it is signed by an authorised representative of the Company and the Consultant undertaking to provide the services on behalf of the Company.

Parties Opting-Out:

1) [Insert Limited Company Name] ("the Company"); and
2) [Insert Consultant's Name] ("the Consultant").

Whereas:

This Opt-Out Notification is supplemental to the Terms of Business of Recruit IT Associates Ltd. for Consultants supplied by Limited Companies (Revision 6 July 2004) ("the Agreement").
The Company and the Consultant acknowledge that it is their intention that the provisions of the Conduct Regulations do not apply to the assignment whereby the Company and Consultant have agreed to provide services to the client under the terms of the Agreement.
The parties have freely entered into this Opt-Out Notification.
Further, the Consultant is free to withdraw from this Opt-Out Notification at any time, by giving written notice to Recruit IT Associates Ltd.. However, in accordance with Regulation 32 of the Conduct Regulations, where notice is given during a particular assignment, it will not take effect until the Consultant completes or terminates such assignment.
The Company and the Consultant consent to the disclosure of this Opt-Out Notification by Recruit IT Associates Ltd. to the client for which the Company and Consultant have agreed to provide services under the terms of the Agreement.

We, the undersigned, agree to be bound by the terms of this Opt-Out Notification and understand that by signing below that we are agreeing that the provisions of the Conduct Regulations shall not apply.
